Terms & Conditions

1. Scope of Application

These Swiss Terms & Conditions (hereinafter referred to as “Terms”) apply to all offers, contracts, and deliveries of Perclimate AG (hereinafter referred to as “Perclimate AG”) to its customers in Switzerland. Any terms and conditions of the customer that deviate from these Terms shall not apply unless expressly agreed upon in writing by Perclimate.

2. Offers and Orders

All offers made by Perclimate are non-binding. Orders placed by the customer are binding on the customer. Contracts between Perclimate and the customer are only concluded upon Perclimate’s written confirmation of the order.

3. Prices and Payment

All prices are in Swiss francs (CHF) and exclude value-added tax (VAT). The applicable price is the one listed at the time of the order confirmation. Perclimate reserves the right to change prices without prior notice. Payment terms are strictly net 30 days from the date of invoice. In case of late payment, Perclimate is entitled to charge interest on arrears at the statutory rate. The customer is not entitled to offset claims of Perclimate against their own claims against Perclimate unless such claims are undisputed or have been legally established.

4. Delivery and Performance

Delivery times are stated in the order confirmation and are non-binding. Perclimate cannot be held liable for delays in delivery or non-performance due to force majeure or other events beyond its reasonable control. The customer shall bear all risks associated with the transport of goods. Unless otherwise agreed, delivery will be Ex Works Breitenbach.

5. Warranty and Liability

Perclimate warrants that the goods delivered are free from material defects at the time of delivery. The warranty period is 12 months from the date of delivery. Any defects must be reported to Perclimate in writing within 14 days of their discovery. Perclimate’s sole liability for any defects shall be limited to the repair or replacement of the defective goods at its own discretion. Perclimate excludes any further liability, including for consequential damages, loss of profits, or personal injury.

6. Intellectual Property

All intellectual property rights in the products and services offered by Perclimate belong exclusively to Perclimate. The customer is not entitled to use any trademarks, logos, or other intellectual property of Perclimate without its prior written consent.

7. Data Protection

Perclimate processes personal data of its customers in accordance with applicable data protection laws and regulations. For more information on how Perclimate handles personal data, please refer to its Privacy Policy.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with Swiss law. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms shall be the courts of Biel/Bienne, Switzerland.

9. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
